Michael C. Tarwater Chief Executive Officer
Prior to joining CHS in 1981, Mr. Tarwater served as the assistant administrator at the University of Alabama Hospitals. He holds a bachelor of science degree in business administration from the University of West Florida and a master of science degree in hospital and health administration from the University of Alabama-Birmingham. Mr. Tarwater is a life member and past chairman of the Board of Trustees of the North Carolina Hospital Association and a member of the American Hospital Association. He is a fellow in the American College of Healthcare Executives. He has held active leadership positions with the North Carolina State Health Coordinating Council, the UNC School of Public Health Advisory Council, the North Carolina Institute of Medicine, and Communities in Schools-Charlotte.
For more than 25 years, Mr. Tarwater has worked diligently to position Carolinas HealthCare System as one of the leading healthcare systems in the Southeast. CHS now owns, leases or manages 32 acute care and specialty hospitals; and, in addition, comprises 10 nursing homes, the Carolinas Physicians Network; the NorthEast Physician Network and numerous other healthcare enterprises. The flagship hospital at CHS is Carolinas Medical Center, an 874-bed academic medical center teaching hospital that provides training to more than 250 medical residents and fellows, and includes a college of allied health sciences and a basic sciences research center. CHS has more than 48,000 employees working in more than 500 care locations throughout North and South Carolina, including more than 1,500 employed physicians. |

Joseph G. Piemont President & Chief Operating Officer
As the President & Chief Operating Officer, Mr. Piemont leads the development and operation of Carolinas HealthCare System as a comprehensive, integrated regional enterprise.
Mr. Piemont has a diverse industry background and extensive experience in mergers, acquisitions and partnering, as well as in the development and operation of integrated healthcare companies. Prior to joining CHS in 1997, Mr. Piemont was President and CEO of Coastal Physicians Group, Inc., a NYSE-listed company formerly located in Durham. He received an economics degree from the University of North Carolina at Charlotte and holds a juris doctor degree from Emory University School of Law.

Greg A. Gombar Executive Vice President & Chief Financial Officer
As the Executive Vice President & Chief Financial Officer, Mr. Gombar is the senior executive who is responsible for overseeing the System's financial performance including planned capital investment of almost $3 billion over the next 5 years.
Prior to joining CHS in 1984, Mr. Gombar served as an audit manager and health care consultant with Arthur Andersen LLP for seven years. He received a bachelor of arts in accounting and management science from Duke University and is a certified public accountant. Currently, Mr. Gombar is a member of the Healthcare Management Academy and is actively involved with the North Carolina Hospital Association.

Roger A. Ray, MD Executive Vice President & Chief Medical Officer
As Chief Medical Officer, Dr. Ray is responsible for providing leadership and strategic direction related to performance improvement in quality and patient safety for the system. Further, Dr. Ray assumes operational responsibility for a number of functions for the Charlotte market facilities, namely Quality Management, Clinical Care Management, Medical Staff Services, Medical Records, Infection Control, the Center for Clinical Data Analysis and the R. Stuart Dickson Research Institute.
Prior to joining Carolinas HealthCare System in early 2007, Dr. Ray served as the Chief Quality Officer for BayCare Health System, an integrated, multi-hospital system in Tampa, Fla. His prior physician executive roles included Chief Medical Officer for Morton Plant Mease Healthcare in Clearwater, Fla., and Chief Medical Officer for AnMed Health System in Anderson, S.C. Dr. Ray practiced clinical neurology for 10 years prior to taking on his administrative roles. During this time, he served on several boards, including the South Carolina Board of Medical Examiners, which he chaired for two years.

Paul S. Franz Executive Vice President of Physician Services Group
As Executive Vice President of Physician Services Group, Mr. Franz directs the strategic development and operating activities of Carolinas Physicians Network, NorthEast Physician Network and medical education and research activities within CHS.
Prior to joining CHS in 1983, Mr. Franz held the position of assistant vice president of professional services at Memorial Medical Center in Springfield, Ill. He received a bachelor of science degree in economics from Allegheny College and a master of health administration from Duke University. Currently, Mr. Franz is a Fellow in the American College of Healthcare Executives, a faculty associate for the department of health policy administration at the University of North Carolina at Chapel Hill and is active in the North Carolina Hospital Association. |

Russell C. Guerin Executive Vice President - Business Development and Planning
As Executive Vice President - Business Development and Planning, Mr. Guerin directs Managed Health Resources, Marketing and Public Relations, the CHS Management Company, Regional Network Development and Community Relations.
Prior to joining CHS in 1987, Mr. Guerin was a manager with the healthcare consulting practice of Deloitte & Touche and had also previously served as assistant to the Vice President of Finance at Rush-Presbyterian-St. Luke's Medical Center in Chicago, Ill. Mr. Guerin has a bachelor of science degree in accounting from the University of Illinois and a master of science degree in health systems management from Rush University in Chicago. Mr. Guerin is currently a Fellow in the American College of Healthcare Executives and a Certified Manager of Patients Accounts.

Dennis J. Phillips Executive Vice President - Metro Group
As Executive Vice President - Metro Group, Mr. Phillips directs the strategic development and operating activities of Carolinas Medical Center and Levine Children's Hospital, as well as Anson Community Hospital, Carolinas Rehabilitation, CMC-Lincoln, CMC-Mercy, CMC-NorthEast, CMC-Pineville, CMC-Randolph and CMC-Union. Mr. Phillips also directs the post-acute care division of CHS including Huntersville Oaks, Sardis Oaks, Home Health Services, and Home Infusion and durable medical equipment.
Mr. Phillips has been in healthcare management for more than 30 years. He has served in the capacity of hospital chief executive officer or regional manager for more than 25 years. Mr. Phillips has an undergraduate degree in accounting from Virginia Tech and master's in hospital and health administration from Medical College of Virginia. Mr. Phillips served as President and CEO of Frye Regional Medical Center in Hickory for 18 years prior to joining CHS in November 2004. Mr. Phillips has been involved with the North Carolina Hospital Association including serving on the Policy Development Committee, Board of Trustees and serving as Chairman of the Board. He also has been involved with the American Hospital Association, serving on the Policy Board for Region 3 which includes NC, VA, MD, DC, KY, WV and DL.

Laurence C. Hinsdale Executive Vice President - Regional Group
As Executive Vice President - Regional Group, Mr. Hinsdale directs the strategic development and operating activities of Blue Ridge Healthcare System (Grace and Valdese Hospitals); Roper-St. Francis Healthcare (Roper and Bon Secours St. Francis Hospitals); Cleveland County Health System (Cleveland Regional Medical Center, Kings Mountain Hospital and Crawley Memorial Hospital); St. Luke's Hospital, Wilkes Regional Medical Center; and Wallace Thomson Hospital.
Mr. Hinsdale came to the System in 2007 in connection with the CHS merger with NorthEast Medical Center, where he had served as Chief Executive Officer since 1998. Prior to joining NorthEast, Mr. Hinsdale served as CEO of the Medical Center at Bowling Green. Since 1982, Mr. Hinsdale has held various healthcare positions in both for-profit and nonprofit hospitals in Kentucky, Virginia, Tennessee and South Carolina. He received his bachelor's degree in political science from the University of North Carolina at Chapel Hill in 1978 and his master's degree in health administration from Duke University in 1982. Mr. Hinsdale is a Fellow in the American College of Healthcare Executives. He has also served on the boards of several community organizations as well as the North Carolina Hospital Association, and the North Carolina State Health Coordinating Council.

Suzanne H. Freeman President, Carolinas Medical Center
As the President of Carolinas Medical Center, Ms. Freeman plans, directs and controls the operating activities of Carolinas Medical Center, an 874-inpatient bed, Level I trauma center. CMC also operates Sanger Heart & Vascular Institute, Blumenthal Cancer Center, Levine Children's Hospital, MedCenter Air (transportation service), Carolinas MED-1 (mobile disaster recovery unit), the Neurosciences and Spine Institute, the Transplant Center, a comprehensive Women's Center and Maternity Center, the Carolinas Laparoscopic and Advanced Surgery Program and the statewide poison-control services.
Ms. Freeman joined CHS in 1975 as a staff nurse at CMC. Prior to assuming her current position, she served as a Vice President at CMC with lead responsibilities in nursing, surgical services and ambulatory surgery and served as President of the Specialty Facilities of CHS. She holds a bachelor of science degree in nursing from the University of North Carolina at Charlotte and a master of business administration from Queens College. Ms. Freeman has served on the Boards of the UNC-Charlotte Foundation, MEDIC (Mecklenburg Emergency Medical Services Agency), North Carolina Hospital Association, and the Advisory Board of UNC-Charlotte Belk College of Business. Ms. Freeman is a member of American College of HealthCare Executives and Sigma Theta Tau International Nursing Honor Sorority.

Phyllis Wingate-Jones President, Carolinas Medical Center-NorthEast
As President of Carolinas Medical Center-NorthEast in Concord, Phyllis Wingate-Jones plans and directs the hospital's operating activities.
Prior to joining CMC-NorthEast, Ms. Wingate-Jones served as President of Carolinas Medical Center-Mercy for three years. She was responsible for the 196-bed facility as well as Carolinas Medical Center-Randolph. She established the first intensivist program at CMC-Mercy and achieved a number of operational improvements, including top quartile physician and employee satisfaction.
Ms. Wingate-Jones is a graduate of the University of North Carolina at Chapel Hill where she earned a bachelor of arts in physical therapy, then received a Masters in Health Administration from Virginia Commonwealth University. A member of the American College of Healthcare Executives, she is very active in the American Hospital Association, the McColl Center for Visual Arts, and numerous other civic and professional organizations.

John J. Knox, III Executive Vice President - Chief Administrative Officer
As Executive Vice President - Chief Administrative Officer, Mr. Knox is responsible for several of the corporate operations areas within CHS. These include information services, materials resource management, transcription, clinical engineering, human resources, the Facilities Management Group, laboratories and pharmacies divisions.
Prior to joining CHS in 1996, Mr. Knox was a senior executive with Andersen Consulting, working with the healthcare industry in areas related to information technology, strategic planning and business processes improvement. Mr. Knox was also a practicing Occupational Therapist. Mr. Knox holds bachelor of science degrees in psychology and occupational therapy and a master's in hospital and health services administration from The Ohio State University. He is active with several local, regional and national organizations related to his areas of expertise.

Eugene DeLaddy Jr. Senior Vice President - Chief Compliance and Privacy Officer
As Senior Vice President - Chief Compliance and Privacy Officer, Mr. DeLaddy is responsible for both hospital and physician compliance issues as well as patient privacy and the internal audit.
Prior to joining CHS, Mr. DeLaddy was CFO of Alexandria Hospital in Alexandria, Va., where he was responsible for traditional financial areas plus Materials Management, Management Engineering, Human Resources and Information Services. In 1988, Mr. DeLaddy came to Charlotte as CFO of Mercy Health System, which later merged and became part of CHS. Mr. DeLaddy is a member of the Institute of Internal Auditors and the HealthCare Compliance Association.

Michael L. Rose President, Carolinas HealthCare Foundation
Mr. Rose joined Carolinas HealthCare Foundation (CHF) as its chief executive officer in 1987. CHF is one of the nation's most unique and successful hospital-related entities of its type, and currently maintains assets of more than $420 million. With more than 30 years of successful and diverse institutional advancement and fundraising experience, Mr. Rose also oversees all CHS grants, contracts, and pre-award activities.
Prior to joining CHF, Mr. Rose served as Senior Vice President, Baptist Health Care Foundation and Baptist Health Care Corporation in Montgomery, Ala. His previous professional associations include Baptist Medical Centers, Birmingham, Ala.; Alabama Sight Conservation Association; and the University of Mobile. A graduate of Mississippi College, Mr. Rose also holds graduate credentials with emphasis in counseling and gerontology. Active in professional and community activities, Mr. Rose has held leadership positions with Child Care Resources, Inc., the Charlotte chapter of the Association of Fundraising Professionals (AFP), the Charlotte Capital Campaign Review Board, and Certified Fundraising Executives (CFRE) International.

Keith A. Smith Senior Vice President and General Counsel
Mr. Smith is Senior Vice President and Chief Legal Executive for CHS, with primary responsibility for managing CHS legal affairs. Mr. Smith also provides guidance in the areas of corporate governance, corporate law and healthcare regulatory issues.
Prior to joining CHS in 1997, Mr. Smith was in private practice with the law firm of Robinson, Bradshaw & Hinson, P.A. Mr. Smith holds a bachelor of arts degree from Duke University and a juris doctor degree from Duke University School of Law.

James T. McDeavitt, MD Senior Vice President, Education and Research
Dr. McDeavitt oversees the medical education and research activities of CHS. Carolinas Medical Center (CMC) is the only non-university teaching hospital designated as an Academic Medical Center in North Carolina. CMC is the Sponsoring Institution for 18 accredited specialty and subspecialty medical and dental residency programs, with more than 300 faculty and more than 250 residents and fellows. Dr. McDeavitt's responsibilities also include the James G. Cannon Research Center, CHS's Regional Education activities, Cancer Services/Ambulatory Care and the Carolinas College of Health Sciences. The Carolinas College of Health Sciences was formed in 1996 and includes technical training programs in medical technology, radiologic technology, surgical technology and CMC's School of Nursing.
Dr. McDeavitt received his undergraduate degree from Duke University and a doctorate in medicine from Wake Forest University. Dr. McDeavitt has held key leadership positions with the Commission for Accreditation of Rehabilitation Facilities.

Debra Plousha Moore Senior Vice President - Human Resources
Ms. Plousha Moore directs the human resources division of CHS. Her office oversees recruitment, compensation, benefits, employee relations and employee health, serving more than 38,000 full-time and part-time employees system-wide.
Plousha Moore came to Charlotte from a comparable position at OhioHealth in Columbus, Ohio, where she served for more than seven years. Additionally, she held HR positions with Genesys Health System in Grand Blanc, Mich., and Franciscan Health System of the Ohio Valley in Ohio. She also served for 10 years as a student affairs administrator and adjunct faculty member at the University of Dayton.
A native of San Francisco, Plousha Moore is a graduate of San Francisco State University and has a master's degree in education, counseling and human services from the University of Dayton. She is a member of the National Association of Health Services Executives and the Society for Human Resource Management.

Zachary J. Zapack Senior Vice President - Facilities Management Group
Mr. Zapack is responsible for the Facilities Management Group of CHS. The Facilities Management Group includes real estate services, project & construction management, plant operations and maintenance, environmental services, security, access control, parking, linen services, dietary services and corporate safety.
Prior to joining CHS in 1982 as the Chief Hospital Architect, Mr. Zapack was employed by Odell Associates as a project manager in the Health Care Studio. He holds a Bachelor of Arts Degree in Pre-Architecture and a Master of Architecture degree from Clemson University. Mr. Zapack is currently a licensed architect in North Carolina. He has been licensed as a general contractor and a real estate broker in North Carolina.

Robert H. Wiggins Senior Vice President - Finance
Mr. Wiggins has primary responsibility for all financial accounting, reporting and budget matters plus all Medicare and Medicaid reimbursement-related functions for CHS. In addition, he oversees the Treasury function, including payroll, disbursements and debt, rating agency and investor relations.
Prior to joining CHS in 1987, Mr. Wiggins spent six years in public accounting where he served primarily healthcare clients. He received a bachelor of science degree in business, with a concentration in accounting, from the University of North Carolina at Chapel Hill. Mr. Wiggins is currently a member of the American Institute of Certified Public Accountants, the North Carolina Association of Certified Public Accountants, and the North Carolina Chapter of the Health Care Financial Management Association. He has served on the boards of the Mecklenburg Emergency Medical Services Agency and WaveCo, LLC.
